TriNet Referral Rewards Program Terms and Conditions

Effective Date: April 3, 2026

These terms and conditions (“Terms”) apply to the TriNet Group, Inc. and its participating subsidiaries (“TriNet”) Referral Rewards Program (the “Program”). The purpose of the Program is to encourage individuals to bring on new TriNet clients through referrals. An individual who submits a referral, whether through this link for non-TriNet employees, this link for TriNet employees (also referred to as TriNet colleagues), or a specific link provided by TriNet (collectively the “Referral Form”), or providing referral information directly to TriNet sales consultants, is defined as a “Participant.” A Qualified Referral (as defined below) that becomes a TriNet client is referred to as a “Referred TriNet Client.” By submitting the Referral Form, Participant agrees to be bound by these Terms and TriNet’s Privacy Policy, as may be amended from time to time. All decisions made by TriNet are final, binding, and non-appealable. These Terms are independent of any other relationship between Participant and TriNet. 

Submission of the Referral Form, providing referral information directly to TriNet sales consultants, or participation in the Program constitutes your acknowledgment and agreement to be bound by these Terms. Additionally, all determinations under the Program, including eligibility to participate and eligibility to receive any rewards, are made at the sole and final discretion of the TriNet Referral Team.

ELIGIBILITY REQUIREMENTS: To be eligible for the Program a Participant must:

Submit complete and accurate referral information to TriNet;

Be an individual over 18 years old;

Not be: a quota-carrying member of the TriNet sales team; a TriNet colleague with the title of Divisional Vice President or above; a member of TriNet Board of Directors or of any TriNet-affiliated companies; or an immediate family or household member of any such individuals;

Not have an existing referral relationship with TriNet;

Not be a broker, channel or alliance partner of TriNet;

Not be a paid employee of the company they are referring, be involved in the decision-making process or is the signor on the agreement;

Meet the definition of a Trusted Advisor (“TA”), if they submitted the Referral Form as a Participant. For purposes of the Program, a TA is an individual who is not a worksite employee (“WSE” or “WSEs”) and does not receive TriNet services in connection with the company they are referring. TAs are authorized by the company to securely access the TriNet platform, and the services they provide are solely for the benefit of that company, not TriNet; and

Not be an individual whose participation in the Program is restricted or prohibited by applicable laws or regulations.

DEFINITION OF A QUALIFIED REFERRAL: A Qualified Referral must meet the criteria listed below.

The information submitted on the Referral Form or information provided to TriNet must be accurate in all respects.

The referral must not be an active lead, defined as a company or individual that TriNet has contacted within the past 90 calendar days.

The referral must not be a current active TriNet client, defined as any company currently receiving services from TriNet.

The referral must not be a former TriNet client   whose relationship with TriNet ended in 2018 or later.

The referral must not be a “Spin-off,” defined as an entity that has 75% or more net WSEs through the direct acquisition or assumption from a current active TriNet client.

The referral must not share common ownership with a current active TriNet client. This includes direct ownership, such as the referral owning a stake in a current active TriNet client, as well as situations where the referral holds a significant interest in both the referral and the current active TriNet client  . If the referral becomes commonly owned or shares common ownership with a current active TriNet client at the time the services agreement is signed, the referral will be disqualified as a Qualified Referral. 

The referral must not be an active WSE or employee of a current active TriNet client.

Participant must have a pre-existing personal relationship with the referral. 

Participant must not acquire referrals through unsolicited e-mails to individuals unknown to them, nor submit referrals based on email lists or other similar harvested consumer lists. 

The referral must have given Participant express written consent to share their details and to permit TriNet to contact them.

The referral must be located within the United States, and only WSE and employees located within the United States will count toward the reward. 

The referral must work in an industry that TriNet services. 

For PEO referral, there must be at least five (5) WSEs, except in technology, financial services, or life sciences verticals, where the minimum is three (3) WSEs.     

The referral must purchase an annual subscription and the comprehensive bundle of TriNet services (PEO or ASO).

REWARDS FOR QUALIFIED REFERRALS

For PEO:  If a Qualified Referral results in a Completed First Meeting (defined below), the Participant will be eligible to receive a $100 Tango Visa Virtual Incentive Account (“Gift Card Reward”), which will be emailed to Participant within sixty (60) calendar days following the Completed First Meeting date, so long as the Completed First Meeting requirements are met.    

Completed First Meeting requirements include: 

  1. a “Yes” designation in the First Meeting Completed field of the SFDC opportunity record, and a date added to the First Meeting Completed Date field of the SFDC opportunity record; 
  2. participation by a decisionmaker with full budget authority to purchase TriNet services; 
  3. a meeting between the decisionmaker and TriNet sales consultant in which they expressed genuine interest in hearing about TriNet services and have not been determined to be ineligible for TriNet services; and 
  4. completion of the meeting with a TriNet sales consultant within fourteen (14) business days of submitting the Referral Form or referral information to TriNet. 

If a Qualified Referral becomes a PEO TriNet client, the Participant may be eligible for a one-time cash reward of $100 per WSE, calculated based on the number of WSEs included in the first complete payroll processed and funded by the referred TriNet client (“PEO Cash Reward”). The maximum payout of the PEO Cash Reward is $15,000 per Referred TriNet Client. All the following PEO Cash Reward requirements must be met. 

PEO Cash Reward requirements include that the Qualified Referral: 

  1. becomes a PEO TriNet Client within 90 calendar days of the Referral Form submission, or referral information to TriNet, or before the associated sales opportunity is marked as “Closed – Lost” in TriNet’s system (i.e., the potential deal has been formally marked as not proceeding or unsuccessful);        
  2. remains an active TriNet client for at least 90 calendar days;  
  3. is in good standing at the time of PEO Cash Reward is paid; and 
  4. has not become commonly owned or shared common ownership with an existing active TriNet client as of the date the TriNet client service agreement is executed. 

For ASO: If a Qualified Referral becomes an ASO TriNet client, the Participant may be eligible for  a one-time cash reward of $25 per domestic (base) employee, calculated based on the number of domestic employees on the first paid invoice of the Referred TriNet Client (“ASO Cash Reward”). The maximum payout of the ASO Cash Reward is $5,000 per Referred TriNet Client.

ASO Cash Reward requirements include that the Qualified Referral:

  1. becomes an ASO TriNet Client within 90 calendar days of the Referral Form submission, or referral information to TriNet, or before the associated sales opportunity is marked as “Closed – Lost” in TriNet’s system (i.e., the potential deal has been formally marked as not proceeding or unsuccessful); 
  2. remains an active TriNet client for at least 90 calendar days;  
  3. is in good standing at the time of ASO Cash Reward is paid; and
  4. has not become commonly owned or shared common ownership with an existing active TriNet client as of the date the TriNet master subscription agreement is executed. 

Specific Rules for TriNet CRMs:

If a CRM submits a PEO Qualified Referral:

On behalf of a current active TriNet client: they must use their custom referral link, and if the referral results in a Completed First Meeting with a TriNet sales consultant within 14 business days of the link submission, the CRM Participant is eligible for a $100 Tango Visa Virtual Incentive Account (“CRM Gift Card Reward”). The CRM Gift Card Reward will be sent via email within 60 calendar days following the Completed First Meeting date. To qualify, the CRM Participant must confirm they are part of the CRM team and that the referral is made on behalf of a current active TriNet client. A Completed First Meeting must include participation by a decisionmaker with full budget authority to purchase TriNet services and a meeting between the decisionmaker and TriNet sales consultant in which they expressed genuine interest in hearing about TriNet services and have not been determined to be ineligible. If the Qualified Referral has 5 or more WSEs, becomes a TriNet   client within 90 calendar days of the referral being submitted by a CRM Participant, and remains a client for more than 90 calendar days, the CRM Participant is eligible for a one-time payment of $500 (“CRM Cash Reward”). The CRM Cash Reward will be paid through corporate payroll to the CRM Participant after the Referred TriNet Client has been on TriNet services for at least 90 days.   

On behalf of themselves: they may be eligible for rewards as described in the "Qualified Reward – For PEO" sections, including any applicable Gift Card Reward or PEO Cash Reward.

On behalf of anyone other than themselves or a current active TriNet client: they will not be eligible for any rewards.

If a CRM submits an ASO Qualified Referral:

On behalf of themselves: they may be eligible for rewards as described in the "Qualified Reward – For ASO" section.      

On behalf of anyone other than themselves: they will not be eligible for any rewards.

The CRM must be an active colleague both at the time the Referral Form or referral information is submitted, and at the time any reward is distributed in order to be eligible to receive a reward.   

GENERAL CONDITIONS: A TriNet colleague, excluding a TriNet CRM, who submits a referral on behalf of someone other than themselves, is not eligible to receive any rewards. 

Participants may be required to complete certain documents in order to receive their reward. 

Any rewards other than gift cards may be issued by check, ACH transfer, or another method deemed appropriate by TriNet. All reward payments are subject to verification and will be issued only after all eligibility requirements have been met and reviewed by TriNet. Cash rewards will be paid no earlier than 90 days after the Participant becomes eligible, pending verification, approval, and payment of the required first payroll invoice by the Referred TriNet Client.  

Participants may not request cash or a substitute reward; however, TriNet reserves the right to substitute a reward (or a portion thereof) with another reward of equal or greater value if the reward (or portion thereof) is not available for any reason, as determined by TriNet in its sole discretion. The reward may be subject to fees, charges, minimum requirements, and/or expiration, in the sole discretion of Tango and TriNet. TriNet is not responsible for any such conditions or limitations. 

TriNet reserves the right, in its sole discretion, to determine a Participant’s eligibility for the Program and any associated rewards, including the right to disqualify any Participant it deems ineligible or chooses not to include  . TriNet retains full discretion over whom it will do business with and under what terms, including, without limitation, whether to accept a referral as a TriNet client and the terms under which it conducts business. 

All questions or disputes regarding eligibility for the Program, eligibility for any of the rewards; or the interpretation of these Terms will be resolved by TriNet at its sole discretion. TriNet reserves the right to void any rewards if it suspects they were earned fraudulently, if they violate any law regulations or these Terms, or if they were obtained in a manner not intended by TriNet.

TriNet is not responsible for lost, misdirected, miscommunicated, miscalculated, destroyed or delayed referrals or rewards, and will not be liable for any damages resulting from such issues.

PROGRAM MODIFICATION OR TERMINATION: To the extent permitted by applicable law, TriNet may, at any time and without prior notice, modify or terminate the Program, these Terms, or both. 

TAXES: Any rewards issued under the Program may be subject to applicable federal, state and local taxes, for which Participant shall be solely responsible. For non-TriNet colleague participants, upon TriNet’s determination that Participant should receive rewards, TriNet may contact Participant to request a completed Form W-9 and any other required documents. If Participant does not respond to TriNet’s request to complete a Form W-9 or the requested document, or indicate a referral payment preference within 180 days, to the extent permitted by law, TriNet reserves the right to rescind and void Participants’ reward. TriNet will report earnings under this Program as required by applicable law. Any rewards will be reported on Form 1099 for all participants who are non-TriNet colleagues. For TriNet colleagues, any rewards received will be subject to federal, state, and local taxation and withholding and will appear as income on their Form W-2.

USE OF DATA AND COMMUNICATIONS: By submitting the Referral Form or providing TriNet with any referral information, Participant agrees that TriNet may collect and use the information provided in accordance with its privacy policy, available at https://www.trinet.com/privacy-policy. Participant confirms that they have obtained express written consent from the referral to (i) share their information with TriNet and (ii) be contacted by TriNet regarding its products and services. Additionally, Participant may receive electronic or phone communications from TriNet, including advertising and marketing materials. GOVERNING LAW: The Program and these Terms are governed by Delaware law, excluding its conflict of law rules. Disputes will be resolved exclusively through arbitration, held in the TriNet office city nearest the Participant’s residence, under American Arbitration Association or Judicial Arbitration and Mediation Services, Inc. rules. For TriNet colleagues, the choice of law and venue set forth in their Terms and Conditions Agreement will apply.   

LIMITATION OF LIABILITY: IN NO EVENT SHALL TRINET BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT, CONSEQUENTIAL, OR ANY OTHER DAMAGES OF ANY KIND, REGARDLESS OF THE TYPE OF CLAIM OR LEGAL THEORY ASSERTED, ARISING OUT OF OR IN ANY WAY CONNECTED WITH: (I) THE PROGRAM; (II) THE USE OR INABILITY TO USE THE SITE OR ANY MATERIALS; (III) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR; OTHER INACCURACIES IN THE SITE OR ANY MATERIALS; (IV) THE ADMINISTRATION OR PAYMENT OF ANY REWARDS; OR (V) THIRD PARTY VENDOR.

FOR TRINET COLLEAGUES, ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION, ARISING OUT OF OR CONNECTED WITH THIS PROGRAM OR ANY REWARDS WILL BE RESOLVED PURSUANT TO THE TERMS OF THEIR INDIVIDUAL TERMS AND CONDITIONS AGREEMENT.
